Appendix A – Definitions & Interpretations

Preamble

The “Clube de Palma” (the “Club”) is owned and developed by The Goan Real Estate and Construction Pvt. Ltd. (“GRECPL”), with its registered office located at Aldeia de Goa, P.O. Goa University, near ETDC, Bambolim, Goa - 403206. Unless specifically stated otherwise, all references to “GRECPL” hereinafter shall also mean and include a Company nominated by GRECPL as its nominee.

This set of Rules & Regulations, along with the House Rules, the Code of Conduct, and the Membership Enrolment Form (collectively referred to as the “Club Charter Documents”), govern the admission of Members, their rights and privileges, as well as the operations of the Club. These documents are binding on all Members, their Dependents, and Guests, as outlined in detail hereinafter.

The Club’s primary place of business shall be the Club Premises, and the Club reserves the right of admission in accordance with its established policies and guidelines.

Part A: Membership

  1. Eligibility and Conditions.
    • Eligibility for Membership: All owners of immovable property in ‘Aldeia de Goa’ and non-residents are eligible to apply for Membership to the Club. However, the grant of Membership is at the sole discretion of GRECPL.
    • Application Process: An applicant may be considered for Membership upon submitting the Membership Enrolment Form and any other required forms as outlined in these Rules.
    • Rejection of Application: GRECPL reserves the right to reject any Membership application without providing any reason whatsoever.
    • Personal Privilege and Non-transferability: Membership rights are a personal privilege granted to the individual Member. Unless specifically permitted under the Club Charter Documents, Membership rights are neither transferable nor inheritable.
  1. Eligibility Criteria for Members
    • The applicant must be at least twenty-five (25) years of age, and legally competent to contract under the provisions of the Indian Contract Act, 1872.
    • The applicant and their Dependents must not have been convicted of any criminal offense by any court or tribunal in any jurisdiction in the last 05 years immediately prior to applying Membership.
    • The applicant and their Dependents must not be subject to any recovery proceedings or bankruptcy proceedings in any jurisdiction.
    • The applicant and their Dependents must not have had their passports cancelled, revoked, or suspended.
    • Each Dependent must also meet the eligibility criteria outlined above, except for the age requirement specified in (a).
  1. Discretion of GRECPL or its Nominated Entity
    • In addition to the eligibility criteria specified in these Rules, GRECPL or a Company nominated as its nominee, in its sole discretion, may consider any other factors or criteria it deems relevant to maintain the desired Membership profile and exclusivity of the Club.
    • No applicant shall have any right or entitlement to be admitted as a Member of the Club unless they meet all the eligibility criteria specified herein.
    • GRECPL or a Company nominated as its nominee is under no obligation to record or communicate any reasons for rejecting any applicant.
    • GRECPL or a Company nominated as its nominee reserves the right to conduct any checks and verifications it deems necessary or relevant regarding all applicants and their Dependents.
  1. Dependents of Members.
    • Upon the grant of Membership, the Member may nominate the following as their Dependents to avail of the privileges: (i) One spouse. (ii) Unmarried children below the age of twenty-five (25) years.
    • The nominated spouse shall cease to be a dependent if they are no longer the legal spouse of the Member. The Member must notify GRECPL, or a Company nominated by GRECPL, if the spouse ceases to be their legal spouse. Upon such notification, GRECPL may consider a request to add another individual as Dependent provided that relevant documentation is submitted to GRECPL.
    • A Dependent child shall, upon reaching the age of twenty-five (25) years ("Outgoing Dependent") or getting married, whichever occurs earlier, cease to enjoy the privileges available to Dependents. However, the Outgoing Dependent may continue as a Member by applying for Membership at Aldeia resident rates.
  1. No Claim by Exiting Member. Any Outgoing Dependent and/or outgoing spouse shall have no right or claim of any nature whatsoever against GRECPL or any company nominated by GRECPL. All Membership cards associated with such Outgoing Dependents and/or outgoing spouses shall be deactivated by GRECPL/ Club, and all privileges afforded to them shall immediately cease. In the event that an Outgoing Dependent is accepted as a Member, such individual shall thereafter be governed by the terms and conditions applicable to Members, in accordance with the relevant regulations.

Part B: Membership Categories.  

  1. The Club offers the following categories of memberships: -
    • Resident Membership for Aldeia owners.
    • Membership for owner’s children > 25 years of age.
    • Tenure Membership for Tenants.
    • Non-Resident Membership.
    • Corporate Membership.
    • Affiliate Membership
    • Honorary Membership
    • Other Memberships, as determined by GRECPL or a Company nominated as its nominee, from time to time. The details of each of these Membership categories are provided hereinafter.
  1. Resident Membership.
    • A Membership for one year, five years, or lifetime shall be offered to all villa/flat/plot owners at ‘Aldeia de Goa’, at the sole discretion of GRECPL or a Company nominated as its nominee, upon payment of the Membership/ Usage Fee. This offer is available to those who apply for Membership prior to the Club becoming operational and for such other period as may be determined by GRECPL. Each Membership shall be valid for the Member, their spouse, and unmarried children under the age of 25 years. For the sake of clarity, in case of joint ownership of villa/flat/plot, the first named owner shall be the Member unless such first named owner nominates the co-owner to be a Member. A former owner of villa/flat/plot at Aldeia De Goa, shall not continue to be a Member under this category but may continue to be a Member as a Non-Resident Member, subject to acceptance by GRECPL or a Company nominated as its nominee.
    • The Membership Fee is payable upfront and non-refundable. The annual Subscription Fee is payable annually by 01 January at the prevailing rates, as determined by GRECPL or a Company nominated as its nominee, and may be adjusted from time to time.
  1. Membership for owner’s children > 25 years of age.
    • A Resident Member may apply to GRECPL, or a Company nominated as its nominee, to nominate either an unmarried child who has attained the age of twenty-five (25) years or an outgoing Dependent as a Resident Member, upon payment of the Membership Fee. GRECPL or a Company nominated as its nominee, reserves the right to accept or reject such applications at its sole discretion. Upon nomination by the Resident Member and acceptance by GRECPL or a Company nominated as its nominee, the individual shall qualify as a "Resident Member."
    • A ‘Resident Member’ hereafter shall be considered a full-fledged Member, with the right for their spouse and unmarried children under the age of twenty-five (25) to utilize all privileges of the Club as promulgated by the Club management.
  1. Tenure Membership for Tenants. This Membership applies to all tenants who reside at ‘Aldeia de Goa’ or invitees of the Chairperson. It is an adhoc/tenure Membership, at a one-time fee, granted to the couple and unmarried children under 25 years of age for a period of one year.
  2. Non-Resident Membership.
    • A ‘01year, 05 years or life Membership’ shall be offered to select non-Aldeia De Goa residents, at the sole discretion of the GRECPL or a Company nominated as its nominee, upon payment of Membership Fee, who accept such Membership prior to the Club becoming operational or for such other period as may be determined by GRECPL in its sole discretion. Each Membership is valid for the Member, spouse, and unmarried children below the age of 25 years.
    • The Membership Fee is payable upfront and non-refundable. The annual Subscription Fee is payable annually by 01 January at the prevailing rates, as determined by GRECPL or a Company nominated as its nominee, and may be adjusted from time to time.
  1. Corporate Membership.
    • A ’01 year or 05 years Membership’ shall be offered to select Firm/ Company for max two Directors/ equivalent employees, their spouse and unmarried children below the age of 25 years.
    • The Membership fee is non-refundable, payable upfront. The annual subscription fee is payable annually at the prevailing rates, as determined by GRECPL or a Company nominated as its nominee, and may be adjusted from time to time.
  1. Affiliate Membership

   Pursuant to any reciprocal arrangements being entered into by GRECPL with any affiliate clubs and subject to the terms thereof and the Club Charter Documents, the Members of such affiliate clubs, upon payment of the Membership/ Udsage Fee may be offered Membership by GRECPL.

  1. Honorary Membership

Any distinguished person, at the sole discretion of GRECPL or a Company nominated as its nominee, may be offered Membership for a period as determined by GRECPL or a Company nominated as its nominee. Such a Member will not be required to pay any fees whatsoever, but shall be required to pay only for items which he/ she has consumed during his/ her personal visits to the Club

  1. Other Membership Categories, as GRECPL may introduce. GRECPL or a Company nominated as its nominee, may, at its sole discretion, introduce and implement any other category or type of Membership and prescribe eligibility criteria and other terms and conditions for such Membership, including, without limitation, for any visitors and patrons of the hospitality complex.

PART C: General Rules & Regulation

  1. Membership Fees and Other Payments Payable by Individual Members. As a precondition for the grant of individual Membership by GRECPL or a Company nominated as its nominee, each individual Member is required to make timely payments of the fees and charges to GRECPL, as set out below:-
    • One-Time Non-Refundable Membership Fees.
    • (i) The applicable Membership fee shall be determined by GRECPL or a Company nominated as its nominee, from time to time.
    • (ii) Notwithstanding any suspension, early termination of the Membership, or resignation by a Member, the Membership fee shall not be refundable.
    • Recurring Fees and Charges. Upon commencement of the Membership, each Member shall be liable to pay GRECPL or a Company nominated as its nominee, in a prompt and timely manner, the following recurring fees and charges:-
    • (i) Annual Subscription Fees.   The applicable annual subscription fee for each year shall be determined by GRECPL or a Company nominated as its nominee from time to time.
    • (ii) The Annual Subscription Fees is payable by each Member by 01 January. GRECPL reserves the right to increase the Annual Subscription Fees at its sole discretion.
    • (iii) Notwithstanding any suspension, early termination of the individual Membership, or resignation by a Member, the Annual Subscription Fee shall not be refundable.
  1. Refunds. Except as expressly provided in writing, the Membership Fee, the Annual Subscription Fee, and any other payments, whether whole or in part, made by the individual Member shall not be refundable under any circumstances.
  1. Nomination and Transfer of Membership upon Death of an Individual Member.

Membership is not transferable or inheritable.

  1. GRECPL's Discretion in Relation to Membership. GRECPL at its sole discretion shall or a Company nominated as its nominee at its sole discretion have the right to: -
    • Determine the number of people to be granted Membership under the relevant categories of Membership.
    • Provide Membership to an applicant under such category of Membership as it determines appropriate.
    • Amend or modify any terms and conditions (including, but not limited to, charges payable for the use of facilities or privileges) in relation to any category of Membership.
    • Alter or add any category of Membership; and suspend or cancel a category of Membership in favor of granting any new Membership.
    • The Membership tenure for each category of Membership shall be specified at the time of granting Membership.
    1. Membership Cards.
    • GRECPL or a Company nominated as its nominee shall issue Membership Cards or other Membership documents from time to time, by which Members and their Dependents may be identified.
    • No Membership Cards will be issued to Children below fifteen (15) years of age.
    • A valid Membership Card shall be required to be presented by Members and their Dependents for admission to the Club and for availing the privileges. Membership Cards must be produced at any time, upon request by the Club Staff. Members and their respective Dependents who are unable to produce their Membership Cards may be refused entry into the Club or leave the Club Premises.
    • Membership Cards are non-transferable and must not be misused in any manner.
    • Membership Cards are the property of GRECPL (Club) and shall be surrendered to GRECPL/ Club when a person ceases to be a Member, or if their Membership is suspended.
    • Upon suspension, termination, expiry, or relinquishment of Membership, or if an individual ceases to be a Dependent Member, all Privileges shall automatically stand revoked and cancelled without any prior notice and the Membership Cards shall be returned to the Club or not.
    • Whenever a Membership Card is lost or stolen, the concerned Member shall immediately inform the Club of such loss or theft.
    • Upon a request being made in writing to the Club, a Member or their Dependents shall be issued replacement Membership Cards upon payment of such a fee as may be prescribed by GRECPL/ Club management. The Members concerned shall complete all the required formalities stipulated by GRECPL to enable GRECPL to issue replacement Membership Cards.
  1. Taxes. Any tax (other than income tax), excess surcharge, or levy (such as goods and services tax, etc.) that becomes applicable on any payments that the Member is required to make to GRECPL, shall at all times, be borne solely by the Member.
  2. Guests (non-Members). This section outlines the rules and responsibilities regarding Guests invited by Members and their dependents at the Club: -
    • Guest Invitations. Members and their Dependents (over 15 years of age) can invite Guests for an additional fee, determined by the club (GRECPL). Any Guests invited by the Dependents of the Members are considered the responsibility of the relevant Member.
    • Guests must always be accompanied by the Member or inviting Dependent Member on the club premises. The Member shall be financially responsible for any charges incurred by the Guests while using the club's facilities.
    • Club’s Discretion Over Guests. GRECPL has the right to deny access to Guests / non-members or limit their use of club privileges, without needing to explain their decision. Individuals who have been expelled from the club or whose Membership has been terminated or suspended cannot enter as Guests.
    • Member Responsibilities. The Member is responsible for ensuring their Guests are aware of and follow the club's rules. If a Guest causes any damage or engages in unlawful behaviour, the Member is liable and must cooperate with the authorities as needed.
    • Liability. The club, its operator, and GRECPL are not liable for any injury, loss, or death suffered by Guests while on the premises.
  1. Personal Attendants. GRECPL or a Company nominated as its nominee may, at its discretion, permit Personal Attendant(s) to enter the Club Premises subject to the following conditions: -
    • A Personal Attendant must be an individual who is more than twenty-one (21) years of age.
    • A Personal Attendant must always carry an identity card (“ID Card”) issued by GRECPL for entry into the Club Premises. The ID Card will only serve for identification of a Personal Attendant by the Club Staff and shall not entitle them to enjoy any privileges. Not more than one (01) Personal Attendant shall be permitted per Member.
    • For issuance of the ID Card, the Member shall make an Application and provide police verification for such Personal Attendants and any other details as may be required by GRECPL (Club).
    • The ID Card is non-transferable and the property of GRECPL. It shall be returned upon any change of the Personal Attendant and/or the discontinuation of the Membership in any manner.
    • GRECPL may restrict the entry of Personal Attendants for any reason whatsoever without any prior intimation to the Individual Member or the Corporate Nominee. Personal Attendants may, at the discretion of the Club, be restricted from entering the Club on any specified day(s), or any specified hours thereof, or any occasion or function, as may be notified, and the Member shall ensure compliance with the same.
    • A Member shall be solely responsible for ensuring that the Personal Attendants are aware of the Club Charter Documents and always comply with them. The Member shall indemnify GRECPL for all acts or omissions of the Personal Attendants within the Club Premises, including, without limitation, any loss or damage to property, personal injury, or death. In addition, the Members concerned shall extend full cooperation with GRECPL and the local law enforcement authorities in the event of any offence or unlawful activities committed by the Personal Attendants within the Club Premises.
    • GRECPL or a Company nominated as its nominee shall not be liable in any manner whatsoever for any loss, liability, injury, or death suffered by any Personal Attendant in or around the Club Premises.
  1. Code of Conduct
    • Applicability of the Code of Conduct. Members are responsible for ensuring that their Associated Persons are aware of the Code of Conduct and comply with it. If any Associated Persons fail to adhere to the Code of Conduct, the Member will be held accountable for the breach.
    • Modification of the Code. GRECPL (the governing entity) or a Company nominated as its nominee has the right to modify, amend, or change the Code of Conduct at any time, at its sole discretion.
  1. Shared Privileges
    • Every Member and their Associated Persons may use and enjoy the privileges in common with other Members, Dependents, Guests, and such other persons (not being a Member) who are duly authorized to visit the Club in accordance with the terms of the Club Charter Documents.
    • Notwithstanding the above, if at any time it appears to GRECPL that any facility of the Club, including the whole or any part of the Club Premises, is congested, requires repair or maintenance, or is required for the use of the Club for any purpose that GRECPL may decide, GRECPL may, at its sole discretion, impose conditions on, restrict, suspend, or otherwise limit the privileges of any Member in respect of any one or more such facilities for such time as is determined by GRECPL. No such restriction shall diminish any obligations of the Members in any manner.
    • Membership does not confer upon the Member or any other person any ownership, interest, right, benefit, or title to, or on any of the property or assets of the Club and/or GRECPL. No Member or Associated Person shall have the right to participate in the management of the Club in their capacity as a Member or associated person.
    • Except for persons whose names are entered as Members and Dependents, GRECPL / Club shall not recognize any right, claim, or privilege of any other person claiming under or through any such Member or Dependent.
  1. Obligations of Members.
    • Members must comply with the Membership Agreement, directions by GRECPL in the Club Charter Documents or a Company nominated as its nominee, and Club rules at all times.
    • Members must make timely payments to GRECPL and update their list of nominees annually.
    • Members must behave in a manner that does not harm the interests of GRECPL, the Club, or its safety and security.
    • Members and their Associated Persons must not engage in behaviour harmful to GRECPL, the Club, its Members, or society.
    • Members and Associated Persons must not damage or remove any Club property.
    • Firearms, weapons, and illegal substances are prohibited on the Club Premises.
    • Members and Associated Persons must not engage in illegal activities related to their Membership.
    • Members and Associated Persons must not induce Club staff to leave their employment.
    • Bribing or offering gratuities to staff to influence actions is prohibited.
    • The Club's trademarks and identifying features are the exclusive property of GRECPL. Members and Associated Persons cannot use them without prior approval.
    • Members must notify GRECPL of any changes in the information provided during Membership.
    • Members must notify GRECPL or a Company nominated as its nominee of any changes in marital status or other material information affecting their Membership status.
    • All obligations for Members also apply to their Associated Persons, who must comply with the Club rules.
  1. Rights of GRECPL or a Company nominated as its Nominee
    • GRECPL can modify these Rules at any time without consulting Members.
    • GRECPL can sell, transfer, mortgage, or create third-party rights over the Club or its premises and make changes to areas or privileges, including offering different privileges to different Membership categories.
    • GRECPL or a Company nominated as its nominee can change Membership Fees, Annual Subscription Fees, Monthly Charges, and prices at its discretion.
    • GRECPL can add or modify Membership categories.
    • GRECPL can take and use photographs/videos for promotional or internal purposes, subject to Member consent and legal restrictions.
    • GRECPL or a Company nominated as its nominee can request supporting documents from Members or Nominees to verify information.
    • GRECPL can allow any person or Guest to access privileges as it deems fit.
    • GRECPL can appoint a third party to manage the Club at its discretion.
    • GRECPL can replace the Operator at its discretion and without notice to Members.
  1. Suspension and Termination of Membership.
    • Breach of the Club Charter Documents. Unless otherwise provided, upon a breach of any terms of the Membership Agreement by the Member, the Nominees, or their respective Associated Persons, GRECPL or a Company nominated as its nominee shall notify such breach to the relevant Member. If the breach is capable of being remedied and is not remedied to the satisfaction of GRECPL within seven (7) days of such notice, GRECPL may initiate appropriate action in accordance with these Rules.
    • If the explanation is satisfactory or the breaches are remedied, GRECPL may allow the Member, Nominee(s), and their Associated Persons to continue enjoying the privileges.
    • GRECPL may suspend the Membership for an appropriate period.
    • GRECPL may impose other sanctions (including fines, damages, restricted access to certain facilities, etc.) as it considers appropriate.
    • If a Member fails to provide a written explanation within the stipulated time, GRECPL may suspend the Membership and take any further actions deemed appropriate.
    • Notwithstanding, GRECPL / Club may immediately suspend the Membership without notice or opportunity for explanation in situations requiring urgent action to ensure safety, protect the Club premises, or preserve the reputation of GRECPL, Operator, and/or the Club.
  • Right of Termination by GRECPL/Club. GRECPL may terminate the Membership of a Member at its sole discretion, and without prior notice, in the event of any of the following situations: -
    • (i) Upon death, insolvency or insanity of a Member.
    • (ii) If a Member’s dues remain unpaid for more than thirty (30) days from the due date and despite intimation, the dues are not paid.
    • (iii) If the Member is found to be convicted of any criminal act (whether by a court of law or otherwise) or is banned by law from entering the Club premises.
    • (iv) If the Member, through their actions or omissions, causes damage to the Club premises, reputation, or interests of the Operator and/or GRECPL / Club.
  • If GRECPL / Club determines that the reasons for the suspension have ceased to exist, it may withdraw the suspension/termination and restore the privileges.
  • Consequences of Termination. In the event of termination of a Member’s Membership, the following shall apply: -
    • (i) The Member’s right to access and use the Club and its privileges shall immediately cease.
    • (ii) The Member shall immediately return all property belonging to the Club.
    • (iii) The Member shall remain liable for any dues or charges accrued prior to the date of termination. 
    • (iv) No refund of Membership Fees or any other amount paid by the Member shall be due in the event of termination of Membership, except where termination is due to a fault of the Club, as may be determined by GRECPL or a Company nominated as its nominee in its sole discretion.
  • Suspension.
    • (i) The suspended Member shall ensure the deposit of all Membership Cards and ID Cards issued pursuant to such Membership. Without prejudice to the aforesaid, GRECPL shall have the absolute right to immediately deactivate all Membership Cards and ID Cards issued to or associated with a suspended Member and their Associated Persons.
    • (ii) A suspended Member and their respective Associated Persons shall be prohibited from availing of the privileges but shall remain liable to make all regular payments in accordance with the terms of the Membership Agreement.
  1. Force Majeure
    • If a Force Majeure event prevents GRECPL or the Operator from providing usual privileges, the privileges will be limited to those unaffected by the event. Members will not be entitled to refunds, compensation, or damages.
    • GRECPL and the Operator are not liable for any claims, breaches, or service deficiencies caused by Force Majeure events, including situations where operations become impractical, unsafe, or illegal.
  1. No liability of the Club, GRECPL or a Company nominated as its nominee, Operator, and Club Staff.
    • GRECPL/Operator is not responsible for verifying the accuracy of the information provided by an Applicant or Member. Granting Membership does not confirm the correctness of the provided details.
    • GRECPL, the Operator, and their affiliates are not liable for any injury, loss, or damage to Members, their Guests, or property on the Club premises, whether from Force Majeure events, negligence, or other causes. All individuals use the Club and its privileges at their own risk.
    • GRECPL, the Operator, and their affiliates are not liable for any injury, loss, or damage related to the use or misuse of privileges. Members and their Guests should exercise caution.
    • Any property entrusted to Club Staff or left on the premises is at the Member’s or Guest’s own risk. GRECPL and the Operator are not liable for any loss or damage to such property.
  1. Miscellaneous
    • Confidentiality/Non-disclosure. No Member shall, and shall ensure that no Associated Persons shall, disclose or publish in writing any matter concerning the conduct and affairs of the Club/GRECPL/Operator in any public media or publicly criticize in writing the conduct or affairs of the Club, including any matter relating to any disputes between the Member and the Club/GRECPL, or in the case of individual Members, advertising for the sale and transfer of their Membership.
    • No failure by any Member or their Associated Persons to comply with the Membership Agreement shall be deemed to have been waived, excused, or accepted by GRECPL or the Operator unless the same is expressly waived, excused, or accepted by GRECPL or the Operator in writing. Any waiver shall be effective only in the instances and for the purpose for which it is given.
    • Amendments to the Club Charter Documents
    • (i) GRECPL shall have the unqualified right to make additional rules and restrictions in relation to the Memberships (and all matters in relation thereto), for the use of the privileges and entry to the Club premises as it may deem necessary.
    • (ii) The Club Charter Documents may be varied, altered, modified, revised, revoked, replaced, added to, or amended only by GRECPL or a Company nominated as its nominee. Due to notification of such variations, alterations, modifications, revisions, revocations, replacements, additions, or amendments to the relevant Club Charter Documents is deemed to have been provided to the Members if the same is posted in the Club premises and/or circulated to its Members in any manner, electronic or otherwise, or if uploaded on the Club’s official website.

ANNEXURE A: DEFINITIONS AND INTERPRETATIONS

  1. Definitions. In the interpretation of these Rules and the House Rules, the following terms shall, unless the context otherwise requires, have the following meanings:
    • “Adopted Child” means a child who has been adopted in accordance with the Applicable Laws in India.
    • “Aldeia De Goa” means the Project being developed in a phase-wise manner on a plot of land admeasuring approx. 145 acres bearing survey nos. 14/1 & 2, 15/1, 16/1, 17/1 to 3, 18/1, 19/1 to 3, 20/1 to 3, 21/1 to 8, 31/1-A, 34/1, 34/5, 35/1, 101/1 and 101/3 including the ongoing and future acquisition and construction.
    • “Annual Subscription Fees” means the non-refundable lump sum annual fee determined by GRECPL/ Club for each category of Membership, payable by the Member to GRECPL on or prior to: (a) the commencement of the Membership Tenure for the first year of Membership, and thereafter (b) April 1st of each year. Provided that Annual Subscription Fees shall be pro-rated for the first and the last year of Membership if the relevant Membership commences on any date other than April 1st.
    • “Applicable Law” means any applicable statute, law, rule, regulation, ordinance, judgment, order, decree, rule of law, clearance, terms of any approval, directive, guideline, policy, requirement, or other restriction imposed by any national, state, provincial, local, or similar government, statutory, regulatory, or administrative authority, government department, agency, commission, board, branch, tribunal, or court, whether in effect on the date of the Membership Agreement or thereafter, and in each case, as amended from time to time.
    • “Applicant” means any person applying for Membership in accordance with these Rules.
    • “Associated Persons” shall, in relation to a Member, mean their Dependents, Guests, and Personal Attendants.
    • “Bankruptcy Event” means any of the following in relation to the Member: -
    • (i) The Member entering into or resolving to enter into any arrangement, composition, or compromise with or assignment for the benefit of its creditors or any class of them in any relevant jurisdiction.
    • (ii) The Member being unable to, or admitting its inability to, pay its debts when they are due.
    • (iii) The Member being declared bankrupt under any statutory provision of any jurisdiction.
    • (iv) A moratorium being declared in respect of any financial indebtedness of the Member.
    • (v) An application being filed, or any other action being taken against the Member under the Insolvency and Bankruptcy Code, 2016, and the rules and regulations thereunder.
    • (vi) Any corporate action (excluding any third-party corporate action) or any other voluntary l egal proceedings or other procedure or step being taken, in each case in relation to the suspension of payments, winding-up, dissolution, administration, or provisional supervision or reorganization of the Person.
    • (vii) The Member commencing a voluntary proceeding under any applicable bankruptcy, insolvency, winding-up, or other similar Applicable Law now or hereafter in effect, or consenting to the entry of an order for relief in an involuntary proceeding under any such Applicable Law, or consenting to the appointment or taking possession by a receiver, liquidator, assignee (or similar official) for the whole or a substantial part of its property, or taking any action towards its liquidation or dissolution.
    • (viii) An order being made, or an effective resolution passed, or analogous proceedings being taken or filed for the winding-up, bankruptcy, or dissolution of the Member;
    • (ix) Any encumbrancer lawfully taking possession, or a liquidator, provisional liquidator, judicial custodian, receiver, receiver and manager, administrative receiver, trustee, or any analogous officer being appointed in respect of the Member or any of the assets or property of the Member, or an attachment, sequestration, distress, or execution (or analogous process) being levied or enforced upon or issued against any of the assets or property of the Member; or
    • (x) Any other event occurs which would, under any Applicable Law, have a substantially similar effect to any of the events listed above.
    • “Child/Children” means an individual who has not yet attained eighteen (18) years of age and includes an Adopted Child or a Stepchild.
    • “Club Premises” means the premises designated as the “Club” situated at Aldeia de Goa, Phase I & II, Bambolim, Goa, or such other premises as may be owned, leased, or acquired by GRECPL at its discretion for the purposes of the Club.
    • “Club Staff” means the workforce (whether permanent or temporary) of GRECPL, the Club, and/or the Operator, including the manager and staff appointed from time to time to manage, operate, and maintain the Club and its Facilities, as well as independent contractors hired by GRECPL from time to time for the aforesaid purpose.
    • “Club” has the meaning given to it in the Preamble.
    • “Club Charter Documents” shall have the meaning ascribed to it in the Preamble to these Rules.
    • “Code of Conduct” means the general rules of conduct in the Club and on the Club Premises as designated by GRECPL.
    • “Dependent(s)” means the Spouse and/or unmarried Children below the age of twenty-five (25) years.
    • “Due Date” shall, in relation to any Dues to be paid by the Member and/or Nominee, mean the applicable due date for payment thereof identified in the Membership Agreement (including the Club Charter Documents) and/or notified by GRECPL in relation thereto.
    • “Dues” means any amount, including the Membership Fees (including any installment thereof as per the relevant Membership Agreement), Annual Subscription Fees, Game Charges, and any other amounts payable to the Club by the Members for all paid Privileges availed by a Member and/or their Associated Persons.
    • “Facilities” means the facilities including, but not limited to, the restaurants, bar, multipurpose rooms, swimming pool(s), gymnasium, banquet hall, and sports facilities such as table tennis, squash court, tennis court(s), padel/ pickle court, etc., subject to addition, modification, or alteration by GRECPL from time to time.
    • “Force Majeure Event” shall mean any event beyond the control of GRECPL, including, without limitation, a change in Applicable Law; earthquake; fire; heavy rains; flood; storm; cyclone; war; explosion; terrorist attack; sabotage; riots; civil disturbance/commotion; strike; bandhs; labor unrest; extreme weather conditions; an epidemic or pandemic; any other natural calamity; demonetization; electricity outages; reduction or outage in water supply; delay, denial, or cancellation of any approval required by GRECPL, or change in statutory laws, policies, or guidelines; an order of a court, tribunal, or other judicial or quasi-judicial body or any other statutory authority in relation to the Club and/or providing any Privileges; etc.
    • “Guest(s)” means any individual, not being a Member and/or Dependent, who is signed in as a guest by a Member or their Dependents for temporary usage of the Privileges, subject to such terms, conditions, or restrictions as may be decided by GRECPL from time to time.
    • “House Rules” means the rules prescribed from time to time by GRECPL relating, inter alia, to the regulation of the day-to-day operations of the Club and the conduct of Members and Associated Persons.
    • “GRECPL” has the meaning ascribed to it in the Preamble to these Rules and also refers to a Company nominated as its nominee.
    • “Member” means the Person holding a valid and subsisting Membership and includes the Individual Member, and any other category of memberships introduced by the Club from time to time.
    • “Membership Agreement” means the agreement executed between GRECPL and the Applicant, pursuant to which the Applicant is admitted as a Member of the Club, and which shall incorporate by reference the Membership Application Form (and all other undertakings provided by the Member), the Club Charter Documents, and which shall collectively be binding on the Members and their Associated Persons. The reference to Membership Agreement shall, in relation to each Member, mean the respective Membership Agreement entered into by such Member.
    • “Membership Application Form” means the form(s) prescribed by GRECPL / Club to be submitted by an Applicant at the time of making an application for Membership to GRECPL.
    • “Membership Card” means the non-transferable card issued by GRECPL / Club to the Member and/or Dependents for utilization of the Privileges.
    • “Membership Fee” shall mean the one-time non-refundable deposit payable by a Member in accordance with the Membership Agreement, to secure the Membership of the Club.
    • “Membership Tenure” shall mean, with respect to each Member, the term of the relevant Membership as agreed in the relevant Membership Agreement.
    • “Membership” means the non-transferable Privileges made available to a Member in accordance with the terms and conditions of the Membership Agreement.
    • “Operator” means any management company or another third party, including any consultant, who may be appointed by GRECPL for the management and operation of the Club.
    • “Person” means any individual, limited liability company, corporation, body corporate, limited liability partnership, Hindu undivided family, government (central, state, or otherwise), or any agency, department, authority, or political subdivision thereof, and shall include their respective successors, and, in the case of an individual, shall include his/her legal heirs.
    • “Personal Attendant” means an individual over the age of twenty-one (21) years, duly authorized by a Member to accompany his/her minor Dependent or differently-abled Member on the Club Premises, in compliance with, and subject to, these Rules and the Code of Conduct.
    • “Privileges” shall mean the enjoyment of the Facilities, amenities, and services offered by GRECPL for use and enjoyment by its Members and/or Dependents, subject to the terms of the Membership Agreement. The term "Privileges" does not confer upon a Member any ownership, interest, right, benefit, or title to or in any of the Facilities, amenities, or assets of the Club or any part thereof.
    • “Rules” means these rules and regulations, as amended from time to time by GRECPL / Club in its sole discretion.
    • “Spouse” shall mean the lawful husband or wife of a Member of the Club.
    • “Stepchild” means a child of less than twenty-one (21) years of age, borne out of the previous marriage of the Member’s Spouse.
    • “Visitor” means any individual who is not a Member, Dependent, or Guest, and who is authorized to enter and/or use the Privileges at the discretion of GRECPL/ Club.
    • The headings to the Club Charter Documents are for ease of reference only and have no bearing on the corresponding substantive provisions.
    • Any doubt or difference that may arise as to the meaning or interpretation of the Membership Agreement, or the Club Charter Documents, or as to the powers of GRECPL, the Operator, etc., shall be clarified or determined by GRECPL, whose decision shall be final and binding upon all Members and all Persons claiming by, from, or under them.
